1. AGREEMENT TO TERMS

This Terms and Conditions Agreement (the “Agreement”) is entered into by and between ProtectPress LLC (“Company,” “we,” “us,” or “our”) and the individual or entity (“Client,” “you,” or “your”) who purchases, subscribes to, or otherwise engages in any service provided by ProtectPress LLC. By accessing, using, or purchasing services from ProtectPress LLC, Client expressly agrees to be bound by the terms and conditions set forth herein. If Client does not agree to all provisions of this Agreement, Client must refrain from using ProtectPress LLC’s services.

2. SCOPE OF SERVICES

ProtectPress LLC provides website maintenance, hosting, security, and development services subject to the specific terms outlined below. ProtectPress LLC does not guarantee specific performance outcomes and does not assume liability for losses incurred as a result of Client’s use of the services.

2.1 Site Care + Support Subscription Plans

ProtectPress LLC offers website maintenance services under the following subscription plans:

Each maintenance plan includes a scheduled number of site health check visits per month. These visits include routine security updates, performance checks, and ongoing technical maintenance. Service hours allotted under each plan are for use within the subscription month and do not roll over. Clients are responsible for requesting work beyond the standard maintenance procedures within their plan’s allocated service time. ProtectPress LLC will not perform discretionary work outside of agreed-upon tasks.

Scheduled Site Health Checks and Routine Maintenance

For each scheduled site health check visit, ProtectPress LLC will:

  • Perform a full website backup to secure data prior to making updates.
  • Apply core WordPress updates, ensuring the site’s software is current and stable.
  • Update all active plugins and assess for compatibility issues.
  • Update theme files if applicable and verify proper display and functionality.
  • Conduct a visual and code inspection to identify irregularities, errors, or broken elements post-update.
  • Test at least one interactive site element, such as a contact form, to verify site functionality remains intact.
  • Send a detailed maintenance report summarizing all actions taken and any recommendations.

The frequency of these site health checks is determined by the Client’s selected subscription plan:

  • ProtectPress Signature: One health check per month.
  • ProtectPress Plus: Two health checks per month.
  • ProtectPress Premium: Four health checks per month.

Use of Remaining Service Hours

After completing the required maintenance tasks, any remaining service hours included in the Client’s plan are available for Client-directed requests. Clients may submit a list of tasks at any time, and ProtectPress LLC will allocate the available time accordingly. Any work that exceeds the plan’s allocated hours will be subject to the hourly rate outlined in Section 2.3.

2.2 One-Time Fix Services

ProtectPress LLC provides a one-time fix service at a flat rate of $49 per incident. This service applies to emergency website troubleshooting and repair. If ProtectPress LLC determines that the issue is not fixable, the Client will be issued a full refund. Emergency fix requests are addressed on a first-come, first-served basis. Expedited services may be subject to additional fees.

2.3 Hourly Development Services

All website design, development, and troubleshooting services outside of maintenance plan coverage shall be billed at a standard rate of $90 per hour. This includes, but is not limited to:

  • Development of new website features and design modifications.
  • Troubleshooting and issue resolution beyond maintenance plan coverage.
  • Consulting services related to website optimization, integrations, or migrations.
  • Any additional services requested by Client that exceed the time allocated within a subscription plan.

2.4 Hosting Services

ProtectPress LLC offers website hosting as an add-on service exclusively available to active maintenance subscribers. Hosting services are provided through third-party hosting providers and are billed at the following rates:

  • $25.99 per month or $254.99 per year (paid in advance).

ProtectPress LLC guarantees a 99%+ uptime commitment for hosted websites, excluding scheduled maintenance, third-party outages, force majeure events, or other circumstances beyond the Company’s reasonable control. ProtectPress LLC does not guarantee uninterrupted access to the website or immunity from cyber threats.

3. BILLING AND PAYMENT TERMS

3.1 Fees and Payment Schedule

All service fees are due and payable at the time of purchase or invoicing. Client agrees to pay all charges incurred in connection with their selected services in accordance with the fee schedule outlined in Section 2.

3.2 Overages and Additional Fees

  • Client is responsible for monitoring their allotted service hours and acknowledging that unused hours do not roll over.
  • Any overages exceeding the allocated service hours under a maintenance plan shall be billed at the standard hourly rate of $90 per hour and invoiced at the end of the billing cycle.
  • ProtectPress LLC will attempt to notify Client in good faith of overage billing prior to incurring the overage, but is not obligated to do so in cases where requested work is in gross excess of allotted service time.

3.3 Subscription Cancellation and Refunds

  • Annual maintenance and hosting plans are eligible for prorated refunds if canceled before the end of the prepaid term.
  • Monthly maintenance and hosting plans will terminate at the end of the current billing cycle and are non-refundable.

4. LIMITATION OF LIABILITY

ProtectPress LLC shall not be held liable for:

  • Any loss of revenue, business interruptions, or website downtime resulting from technical failures, updates, third-party software conflicts, or cyberattacks.
  • Data loss or corruption, including loss resulting from hosting provider failures, hacking incidents, or force majeure events.
  • Security breaches or website hacking, even when security measures are implemented by ProtectPress LLC.
  • SEO, accessibility, or performance guarantees. While ProtectPress LLC may implement optimization measures, no guarantees are made regarding website rankings, compliance with WCAG, or page load speeds.

In no event shall ProtectPress LLC’s liability exceed the total amount paid by Client for the specific service in dispute.

5. CLIENT RESPONSIBILITIES

Client acknowledges and agrees to the following obligations:

  • Client shall provide necessary access credentials and technical information required for ProtectPress LLC to perform services.
  • Client is responsible for reviewing work performed and approving changes within a reasonable timeframe.
  • If Client or a third party modifies the website or hosting environment in a manner that results in errors, ProtectPress LLC shall not be responsible for correcting such errors without additional fees.

6. FORCE MAJEURE

ProtectPress LLC shall not be liable for any failure to perform its obligations due to events beyond its reasonable control, including but not limited to acts of God, natural disasters, cyberattacks, government restrictions, labor disputes, or failures of third-party service providers.

7. INDEMNIFICATION

Client agrees to indemnify and hold harmless ProtectPress LLC, its affiliates, officers, agents, and employees from and against any claims, liabilities, damages, or expenses arising out of:

  • Client’s use or misuse of services.
  • Claims by third parties regarding intellectual property, content, or security vulnerabilities on Client’s website.
  • Any unauthorized modifications to the website or hosting environment made by Client or third parties.

8. DISPUTE RESOLUTION

Any dispute arising from this Agreement shall first be attempted to be resolved through good-faith negotiations. If negotiations fail, disputes shall be submitted to binding arbitration in the State of Oregon. Each party shall bear its own costs of arbitration unless otherwise determined by the arbitrator.

9. GOVERNING LAW

This Agreement shall be governed and construed in accordance with the laws of the State of Oregon, USA, without regard to conflict of law principles.

10. MODIFICATIONS TO AGREEMENT

ProtectPress LLC reserves the right to amend or modify this Agreement at any time. Continued use of ProtectPress LLC’s services following any modifications constitutes acceptance of the revised terms.
